These Terms and Conditions govern both the use of the website, both terms of sale of capital goods offered by Mollificio Modenese Srl located in Via John Fitzgerald Kennedy, 3 - 41122 Modena, via the website www.springsonline.net except in areas that enjoy the favorable tax regime (Livigno, Campione d'Italy).

These Terms and Conditions shall take effect on the date of acceptance of the same by the CUSTOMER on the Site, acceptance which is in accordance with Art. 1341 of the Italian Civil Code. Non-acceptance of these General Conditions will not make the execution of the purchase of the products received from the CUSTOMER possible. The Company reserves the right to modify at any time these Terms and Conditions by giving prior notice to the CUSTOMER on the Site during the first login after the modification of the General Conditions. Any contractual or non-contractual liability of the Company for direct or indirect damages to persons and/or property, caused by the rejection, even partial, of an order by the Company is excluded.

 

General Conditions of Sale for the www.springsonline.net website

 

1.Scope

These General Conditions govern sales made through the www.springsonline.net website by Mollificio Modenese S.r.l. with registered office located at Via J. F. Kennedy 3, 41122 Modena (MO), VAT No. 02045060361, tel. 059250465, email info@springsonline.it, certified email mollificiomodenese@pec.it, to both business Customers (B2B) and non-business Customers (B2C).
Upon placing an order on the website, the Customer fully accepts these Conditions . The Customer is informed of these Conditions before entering into the purchase agreement.

2.Prevailing agreement

In the event of conflict between these online Conditions of sale and other agreements and/or documents or of interpretation difficulties, these Conditions shall always prevail.

3.Severability

If any provision of these Conditions is declared null or void, the remaining provisions shall remain in full force and effect.

4.Language

This document is drawn up in Italian. In the event of translations, the Italian version shall prevail.

5.Product information

All the products available on www.springsonline.net are standard, identified by item codes, and accompanied by technical descriptions. Images are provided for illustrative purposes only. Technical specifications may be updated without notice.
Under these Conditions, Mollificio Modenese hereby sells, and the Customer remotely purchases, the tangible movable goods displayed and on sale on the www.springsonline.net. website.
The Customer undertakes to review these Conditions before confirming their order and give their approval by ticking the appropriate box.
Before entering into the purchase agreement, the Customer is informed of the features of the goods (as set out in the product descriptions), the total price of the goods (including taxes, with shipping costs and any other costs itemised), the payment methods, the deadline by which Mollificio Modenese s.r.l. undertakes to deliver the goods, the conditions, the terms, and the procedures for exercising the right of withdrawal (including the standard withdrawal form, the cost of returning goods in the event of withdrawal, the statutory warranty for all purchased goods, the after-sales service conditions and the manufacturer's warranties, and Mollificio Modenese's physical address, telephone number, and email address).
These Conditions govern purchases made on the www.springsonline.net website in accordance with the provisions of the Italian Consumer Code, Italian Legislative Decree No. 206/2005, and Italian Legislative Decree No. 70/2003 and subsequent amendments.

6.Entry into agreement

In order to place orders, Customers are required to register with the website and create a personal account. This ensures orders can be managed, invoices issued, shipments tracked, and discounts can be applied and warranties can be implemented. The Customer is responsible for providing accurate information during registration.
The agreement is finalised when the Customer receives the order confirmation email sent automatically by the system. Mollificio Modenese S.r.l. reserves the right to refuse any irregular or suspicious orders.

7.Shipping and delivery

Goods in stock are shipped by courier within 48 business hours of order confirmation. Delivery times are approximate and not binding.
If the goods are not in stock and need to be produced, they will be shipped within 2-3 weeks of order confirmation.
Risk passes to the customer upon delivery of the goods to the carrier. Any damage must be reported within three business days of receipt.
7.1.Product availability
Product availability refers to actual availability of the products at the time the Customer places the order. This availability should be considered purely approximate because, due to the simultaneous presence of multiple Customers on the site and/or due to a computer error, the products may be sold to other Customers before the order is confirmed.
Even once the order confirmation email has been sent, there may be cases where goods are unavailable, which could concern parts of or complete orders. In this case, the order will be adjusted by deleting the unavailable product, and the user will be immediately notified via email. This email will also inform the Customer of the methods and timing for refunding any sums paid.

8.Prices and payments

All prices are in euros and with VAT excluded.
The wording "+VAT" appears next to each price and is visible at every stage of the purchase process for both business and non-business Customers.
Shipping costs are stated before order confirmation.
For orders over €150 + VAT, shipping is free in Italy.
The minimum invoice amount per order is €60 + VAT. Payments can be made by bank transfer, credit card, PayPal, or other methods stated on the website.

9.Invoicing

Invoices are issued at the end of the month and sent to the email address stated by the Customer and via SDI (translator's note: the e-billing system whose use is required by the Italian revenue authority). B2B Customers are required to provide a valid VAT number. Each shipment will be accompanied by a Delivery note (DN), which will be stated on the invoice for reference purposes.

10.Right of withdrawal

The right of withdrawal only applies to B2C Customers (non-business Customers without a VAT number).
Pursuant to Italian Legislative Decree 206/2005, non-business Customers may exercise their right of withdrawal within 14 days of receiving the goods by sending written notification to info@springsonline.it.
The products must be returned in perfect condition and in their original packaging. Customers are liable for return shipping costs and may choose to return the goods in person or by mail or courier. Upon request, Mollificio Modenese's own courier service may be used, in which case the cost shall be notified in advance.
Refunds will be issued within 14 days of receiving the returned goods, minus the cost of return shipping where applicable.
Pursuant to Article 59.1.c) of the Italian Consumer Code, exchanges or refunds for customised products are not available unless the goods are faulty or do not conform to the order specifications.
In any case, the Customer shall forfeit the right of withdrawal if Mollificio Modenese finds that:
- the returned item and/or its accessories and/or the primary packaging are not in perfect condition and/or seals are broken;
- the item is missing its external packaging and/or original internal packaging;
- the item is missing integral parts and/or accessories.

11.Warranties

11.1.B2C Customers
The 24-month statutory warranty applies to B2C Customers.
11.2.B2B Customers
B2B Customers are entitled to a 12-month contractual warranty. The warranty only covers faults present at the time of delivery. Damage caused by misuse and unauthorised modifications are excluded.

12.Limitation of liability

Under no circumstances shall Mollificio Modenese S.r.l. be liable for indirect damage, loss of earnings, business stoppage, or other consequences arising from use of the products sold. Maximum liability is limited to the value of the order.

13.Unforeseeable circumstances and force majeure

In the event that Mollificio Modenese is hindered or prevented from processing orders by cases of force majeure or unforeseeable circumstances, or by inability to procure the services, materials, or items required to process the order (except at higher prices), Mollificio Modenese may delay completion of the order and notify the Customer of the delay. In this case, the Customer may cancel the order in whole or in part, within five (5) days of receiving the notification from Mollificio Modenese.
In none of the aforementioned cases can Mollificio Modenese be held liable for the delay, or cancellation, or the inability to deliver the disputed supply.

15.Applicable law and jurisdiction

15.1.Sales in Italy
The Agreement is governed by Italian law. For B2C Customers, the court of the consumer's habitual place of residence has jurisdiction. For B2B Customers, the Court of Modena has exclusive jurisdiction.
15.2.Sales abroad
For all sales made to Customers based outside Italy, the Agreement is likewise governed by Italian law. The Italian version of these sales conditions is the only legally binding version; any translations into other languages are provided for information purposes only.
